By accessing or using our website, application, or services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions. Please read them carefully.
Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
No Offer of Securities; Informational Purpose Only
Nothing on the Platform constitutes an offer to sell, or a solicitation of an offer to buy, any security, nor does it constitute investment, legal, tax, or financial advice. Any investment opportunities discussed on or through the Platform are offered only to verified accredited investors through separate definitive offering documents, and only in jurisdictions where such offers are lawful. Information presented on the Platform is for general informational and educational purposes and may include forward-looking statements and projections that are inherently uncertain and not guarantees of future results.
Eligibility and Accredited Investor Status
You must be at least 18 years old and capable of forming a legally binding contract to use the Platform.Access to investment-related materials and opportunities is limited to individuals and entities who qualify as "accredited investors" as defined under applicable securities laws (including, where relevant, Rule 501 of Regulation D under the Securities Act of 1933).You agree that any representation you make regarding your accredited status, net worth, income, or investment experience is true and accurate, and you authorize Harvest to verify such information.Harvest reserves the right to grant, deny, suspend, or revoke membership and Platform access at its sole discretion.
Membership and Community Conduct
Harvest is a curated community. As a member, you agree to:Maintain the confidentiality of any deal information, financial materials, member information, and other non-public content shared within the community.Not reproduce, forward, distribute, or publicly disclose any deal documents, offering materials, or member communications without prior written consent.Engage with other members respectfully and in good faith.Not use the Platform or community to solicit members for unrelated products, services, or investments without authorization.
Investment Risk Acknowledgment
You understand and agree that:All investments carry risk, including the potential loss of principal.Real estate investments are illiquid, and you may be unable to sell or transfer your interest.Past performance and projected returns are not indicative of future results.You are solely responsible for conducting your own due diligence and for consulting your own legal, tax, and financial advisors before making any investment decision.Harvest does not act as your investment adviser, broker-dealer, or fiduciary unless expressly agreed in a separate written agreement.
Prohibited Activities
You agree not to: Use the Platform for any unlawful purpose or in violation of any applicable securities laws.Misrepresent your identity, qualifications, or accredited investor status. Disrupt, interfere with, or compromise the security or integrity of the Platform. Attempt to gain unauthorized access to any systems, accounts, or data. Scrape, harvest, or collect information about other members. We have a strict no-solicitation policy within our membership so if any solicitiation is found to be happening member to member then we reserve the right to remove your membership status at any time, without prior notice and with a pro-rated refund.
Intellectual Property
All content on the Platform, including text, graphics, logos, branding, copy, deal materials, and software, is the property of Harvest or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without prior written consent.Third-Party
Content and Links
The Platform may reference or link to third-party content, sponsors, or service providers. Harvest does not endorse and is not responsible for the accuracy, products, or services of any third party.
Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Harvest does not warrant that the Platform will be uninterrupted, error-free, secure, or that any information presented is complete or accurate.
Limitation of Liability
To the maximum extent permitted by law, Harvest, its affiliates, officers, and members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, investment losses, or data, arising from your use of the Platform or reliance on any information provided through it.
Indemnification
You agree to indemnify and hold harmless Harvest and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.
Business Identity
Harvest Investments LLC operates under the trade name "Harvest" ("Harvest"). All services, communications, and transactions conducted through this Platform are provided by Harvest Investments LLC.
Modifications to Terms
Harvest reserves the right to update or modify these Terms at any time. Material changes will be reflected by an updated "Last updated" date. Your continued use of the Platform following any changes constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Wyoming.
SMS Messaging Terms
By providing your phone number and opting in, you agree to receive SMS messages from Harvest Investments LLC, doing business as Harvest, related to membership updates, event reminders, and community communications. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP. For help, reply HELP or contact us at kyle@joinharvest.co. Carriers are not responsible for delayed or undelivered messages. You must be 18 or older to participate. We comply with applicable TCPA and CTIA guidelines.
Termination
Harvest may suspend or terminate your access to the Platform at any time, with or without cause, including for any breach of these Terms. Upon termination, your right to access the community and any associated materials immediately ceases.
